CoreOps Solutions Ltd

Grant of License

Subject to the terms and conditions of this Agreement, CoreOps Solutions Ltd grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for your internal business purposes. This license does not include any right to access the source code of the Software.

Restrictions

You may not, and you may not permit any third party to:

• Copy, reproduce, modify, adapt, translate, or create derivative works based upon the Software, in whole or in part.
• Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Software.
• Distribute, sell, resell, transfer, assign, sublicense, rent, lease, loan, or otherwise make the Software available to any third party.
• Remove, alter, obscure, or destroy any proprietary notices, labels, or marks on the Software or any copies thereof.
• Use the Software to develop a competing product or service, or for any purpose that is competitive with CoreOps Solutions Ltd.
• Use the Software for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.

Confidentiality

The Software contains trade secrets and proprietary know-how that belong to CoreOps Solutions Ltd. You agree to treat the Software as confidential and to take all reasonable precautions to prevent any unauthorised disclosure or use of the Software. This obligation survives the termination of this Agreement.

Ownership

CoreOps Solutions Ltd retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not transfer any ownership rights to you. Any feedback, suggestions, or improvements you provide regarding the Software shall be owned exclusively by CoreOps Solutions Ltd.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. CoreOps Solutions Ltd EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CoreOps Solutions Ltd DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COREOPS SOLUTIONS LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF CoreOps Solutions Ltd HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

This Agreement is effective until terminated. CoreOps Solutions Ltd may terminate this Agreement immediately and without notice if you breach any provision of this Agreement. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession or control. Sections covering Restrictions, Confidentiality, Ownership, Disclaimer of Warranties, and Limitation of Liability survive termination.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Third-Party Components

This Software incorporates certain open-source components that are subject to their own license terms. The inclusion of these components does not alter the proprietary nature of this Software. The following open-source packages are acknowledged:
